Conflict Minerals

Policy statement

Unisys Corporation is committed to obtaining parts and supplies from businesses that share our values regarding human rights and ethical practices. To that end, Unisys adheres to the U.S. Securities and Exchange Commission ("SEC") final conflict minerals rules promulgated under Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act ("Conflict Minerals Rules").

Under the Conflict Minerals Rules, publicly-traded companies must report to the SEC the presence of conflict minerals in those products that they manufacture or contract to manufacture when conflict minerals are necessary to the production or functionality of such products and those conflict minerals originate in the Democratic Republic of the Congo or adjoining countries.

The Conflict Minerals Rules define "conflict minerals" as tin, tantalum, tungsten and gold as well as the derivatives of cassiterite, columbite-tantalite and wolframite (these materials collectively referred to as "3TG" metals).  Although Unisys does not source those metals directly, Unisys is committed to:

  • Engaging in comprehensive and documented due diligence of our supply chain to identify and avoid the use of parts and equipment that use or contain those conflict minerals whose production originates in the Democratic Republic of the Congo or adjoining countries, and are linked to the abuse of human rights;
  • Utilizing only socially-responsible and ethical suppliers and manufacturers for the supply of parts and equipment to Unisys;
  • Complying with applicable SEC Conflict Minerals Rules including, but not limited to, reporting requirements; and
  • Supporting the goal of ending violence and human rights violations in the mining and production of conflict minerals.

Unisys does not directly procure from Smelters or Refiners (SOR's).  In the event that Unisys determines that parts and equipment supplied to Unisys contain or likely contain conflict minerals that are linked to the abuse of human rights, Unisys will work with its suppliers to eliminate the SORs in question from the Unisys supply chain.  Alternatively, Unisys may take action to transition procurement to suppliers who support responsible conflict free sourcing.

Unisys requires all suppliers to conform to the conflict minerals rules under Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act.  Unisys communicates its expectation that suppliers adhere to the Responsible Business Alliance ("RBA") code of conduct and only sources 3TG metals from responsible conflict-free sources.  Unisys also requires that suppliers provide reporting on conflict minerals to Unisys utilizing the Responsible Minerals Initiative Conflict Minerals Reporting Template ("CMRT") and identify all smelters and refiners who may provide 3TG metals used in Unisys products.

Unisys supports industry initiatives to create and deploy supply chain verification processes (such as the Responsible Minerals Initiative - Responsible Minerals Assurance Process ("RMAP"); the London Bullion Market Association – Responsible Gold Guidance Process ("RGG"); and the Responsible Jewelry Council – Chain of Custody Program ("CoC")) and leverages these processes in the analysis of the Unisys supply chain.  Unisys maintains a conflict minerals due diligence process which conforms to the framework established by The Organization for Economic Co-operation and Development ("OECD") "Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas", as recommended for Downstream Supply Chains.
